Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Synchronity, the AI-powered commerce infrastructure operated by Themewire (“we”, “our”, or “us”), including our gateway APIs, MCP servers, connectors, and dashboard. By accessing or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. The Service

Synchronity sits between AI agents and online stores, translating storefronts into a single authenticated commerce protocol so agents can discover, cart, and check out on your behalf. It may also let you request a back-in-stock alert for an out-of-stock product; if you provide an email address, we use it to send that transactional alert and — where you have opted in (shoppers) or as part of your merchant account — occasional product and marketing emails you can unsubscribe from at any time. The service is provided on an “as is” and “as available” basis and may change over time.

2. Accounts & Credentials

  • Agent Identity Tokens (AIT): You are responsible for keeping issued tokens, connector keys, and delegation credentials confidential.
  • Scopes: Agents may only act within the scopes granted to their token. Attempting to exceed granted scopes is a breach of these Terms.
  • Human delegation: Sensitive actions such as checkout require explicit human approval through our delegation flow. You are responsible for approvals made under your account.

3. Acceptable Use

You agree not to:

  • Use the service to violate any law, infringe rights, or transact in prohibited or restricted goods (see section 4).
  • Circumvent rate limits, authentication, audit logging, or other security controls.
  • Probe, scrape, or overload the gateway or connected storefronts beyond fair use.
  • Submit abusive, fraudulent, or deceptive content (including to public surfaces such as the shoutouts wall).

4. Prohibited & Restricted Goods

Synchronity connects your store to AI assistants such as Claude and ChatGPT. Those platforms set rules about what may be sold through them, and we are bound by those rules for every store we connect.

Physical goods only. Synchronity lists physical products that are shipped to the buyer. Digital goods, downloads, gift cards, vouchers, subscriptions, memberships, software licences, online courses, and services (including consultations and coaching) are out of scope and are not listed.

A product is also not listed if it falls into any of these categories:

  • Alcohol: Spirits, beer, wine, and other age-restricted alcoholic drinks.
  • Tobacco and nicotine: Cigarettes, cigars, tobacco, vapes, e-liquids, hookah, shisha, and nicotine pouches.
  • Weapons: Firearms, ammunition, explosives, and self-defence devices such as pepper spray, stun guns, and tasers.
  • Controlled substances: Cannabis and THC products, psilocybin, and other controlled or illegal substances.
  • Prescription medication: Any product requiring a prescription, and prescription-only pharmaceuticals.
  • Drug paraphernalia: Bongs, dab rigs, grow equipment, and related items.
  • Adult content: Pornography, explicit sexual media, adult subscriptions, and sexual services.
  • Gambling: Real-money gambling, casino credits, sportsbook wagers, and lottery products.
  • Counterfeit and stolen goods: Replicas, first copies, knock-offs, and goods that are not lawfully yours to sell.
  • Piracy: Cracked software, licence keys, unauthorised media, and circumvention tools.
  • Surveillance and malware: Spyware, keyloggers, stalkerware, and covert tracking or recording devices.
  • Protected wildlife: Ivory, rhino horn, and other endangered-species products.
  • Fraud-enabling products: Fake identification, credit-repair schemes, and stolen credential or card data.
  • Crypto and investments: Cryptocurrency, NFTs, mining contracts, forex signals, and investment products.

How we screen. Every product returned to an AI assistant is screened against these categories using its title, description, categories, tags, and whether your store ships it. We also scan each connected catalog on a schedule so nothing added later slips through. Screening happens on our gateway, so it applies identically on every assistant.

What happens to your store: we do not remove it. If a product falls into one of these categories, only that product is excluded from AI shopping. Everything else in your catalog keeps selling and your store stays connected. We email you the list of excluded products, and you can see it any time in your dashboard under the store’s details. Nothing changes on your own storefront: the product stays listed and purchasable on your website exactly as before, and the exclusion applies only to what AI assistants can see through Synchronity.

If we get it wrong. Screening uses automated matching, so it can occasionally catch a product it should not. “Rum Raisin Cake” is a cake, not a spirit. If a product of yours has been excluded in error, email [email protected] with the product name and store, and we will review it and restore it if the exclusion was wrong.

Your responsibility. When you connect a store you confirm that it sells physical goods and does not deal in the categories above. Automated screening is a safety net, not a substitute for that confirmation. Deliberately or repeatedly listing prohibited goods is a breach of these Terms and may result in suspension. These categories are set by the AI assistant platforms we connect to and change from time to time; we update this section when they do.

5. Merchants & Connectors

If you connect a storefront (WooCommerce or a custom connector), you represent that you are authorized to do so, that your store sells physical goods and does not deal in the categories in section 4, and that orders processed through Synchronity comply with your own store policies. Connector credentials remain under your control; we store only a hashed reference.

6. Orders & Payments

Synchronity facilitates orders on connected stores but is not the merchant of record. Payment is completed by the buyer on the selling merchant’s own payment page or their payment provider’s page. We never collect card numbers, card details, or bank credentials, and we do not store raw card details at any point. On some AI assistant surfaces, checkout creates an unpaid order and the buyer is directed off the assistant to the merchant’s payment page to pay. Pricing, fulfilment, refunds, and support for any purchase are governed by the selling merchant’s terms.

7. Intellectual Property

Synchronity and its underlying software are provided under their respective licenses. These Terms grant you no rights to our trademarks. Content you submit remains yours, but you grant us a license to host and display it as needed to operate the service.

8. Disclaimers & Liability

To the maximum extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, and we are not liable for indirect, incidental, special, or consequential damages, or for losses arising from third-party stores, agents, or payment providers. To the extent liability cannot be excluded, our total aggregate liability for any claim relating to the service is limited to the greater of (a) the amounts you paid us for the service in the three (3) months before the event giving rise to the claim, or (b) USD 100.

9. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to its conflict-of-law rules. You agree that the courts located in Accra, Ghana have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and you consent to that jurisdiction and venue. Before filing a claim, you agree to first contact us so we can try to resolve the matter informally. Nothing here limits any non-waivable rights you have under the mandatory law of your country of residence.

10. Changes

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above. Continued use after changes constitutes acceptance.
